These Terms of Service govern the working relationship between DFX Studios LLC (hereinafter “DFX Studios”, “we”, “us”) and any individual or entity (hereinafter “Client”) who engages DFX Studios for any service. By signing a project agreement, submitting a payment, or providing written confirmation of engagement, the Client agrees to be bound by these Terms in full.
01. Services Covered
These Terms apply to all services offered by DFX Studios LLC, including but not limited to:
- Content Strategy and Planning
- Social Media Management
- Video Production and Editing
- Graphic Design and Visual Content Creation
- Copywriting and Content Writing
- Performance Analytics and Reporting
- Any additional services agreed upon in writing
02. Payment Terms
DFX Studios operates on a full upfront payment policy. The following terms apply to all engagements:
- 100% of the agreed project or monthly retainer fee is due before any work begins.
- An invoice will be issued upon agreement of scope. Work starts only after full payment is confirmed and cleared.
- Payments are processed through the designated payment method communicated at the time of invoicing.
- All prices are quoted in USD unless otherwise agreed in writing.
- DFX Studios reserves the right to withhold all deliverables until full payment is received.
03. Revisions
DFX Studios is committed to delivering work that meets the Client’s vision. Our revision policy is as follows:
- Unlimited revisions are included at no additional cost for all deliverables, provided that revision requests fall within the original agreed scope of work.
- A revision is defined as a modification to existing approved work. A revision does not include new deliverables, new concepts, or a significant change in direction that constitutes a new project.
- Revision requests must be submitted in writing and consolidated into a single round where possible to maintain project efficiency.
- DFX Studios will not be held responsible for delays caused by repeated or unclear revision instructions.
04. Timelines and Deadlines
All project timelines are agreed upon in writing at the start of each engagement. The following conditions apply:
- Timelines are established based on the full and timely delivery of all required assets, information, approvals, and feedback from the Client.
- If the Client fails to provide required materials or approvals on time, all deadlines will be extended by an equivalent period to the delay caused by the Client. DFX Studios accepts no liability for missed deadlines resulting from Client-side delays.
- If a Client delay exceeds 14 consecutive calendar days with no communication, DFX Studios reserves the right to pause the engagement until the Client re-engages, or to treat the project as cancelled in accordance with the cancellation policy.
- Rush requests outside the agreed timeline may be accommodated at DFX Studios’ discretion and may incur additional fees.
05. Cancellation and Refunds
DFX Studios understands that circumstances change. Our cancellation and refund policy is as follows:
- For one-time projects: All fees are non-refundable once work has commenced, as resources and time are allocated immediately upon payment.
- For ongoing retainer contracts (e.g., 3-month or 6-month engagements): If the Client wishes to exit the agreement early, DFX Studios will retain all fees for completed months and one additional month as a cancellation buffer to account for planning, team allocation, and resource commitment. The remaining prepaid months will be refunded in full within 14 business days.
- Example: On a 3-month retainer, if the Client cancels at the end of Month 1, DFX Studios retains the fees for Month 1 (completed work) and Month 2 (cancellation buffer). Month 3 is refunded in full.
- Refunds are not issued for dissatisfaction with completed and approved deliverables.
- DFX Studios does not offer partial refunds for partially completed monthly work.
06. Termination by DFX Studios
DFX Studios reserves the right to terminate any engagement under the following circumstances:
- The Client engages in abusive, harassing, or disrespectful behavior toward any DFX Studios team member.
- The Client fails to fulfill their payment obligations.
- The Client requests work that is unlawful, deceptive, defamatory, or in violation of any third-party rights.
- The Client becomes unresponsive for more than 14 consecutive calendar days without prior notice.
In the event DFX Studios terminates an engagement, a fair and proportional refund will be issued based on the volume of work completed relative to the total agreed scope. The cancellation buffer clause in Section 05 applies.
07. Ownership and Intellectual Property
DFX Studios fully respects and upholds the Client’s ownership rights over all deliverables. The following applies:
- Upon receipt of full payment, the Client holds 100% ownership of all final deliverables produced by DFX Studios under the agreed engagement. This includes all content, designs, videos, copy, and other creative assets.
- DFX Studios does not retain any claim to deliverables that have been fully paid for.
- All raw files, working files, and intermediate assets remain the property of DFX Studios unless otherwise agreed in writing.
- DFX Studios retains the right to feature completed work in its portfolio, case studies, website, and promotional materials, unless the Client explicitly requests otherwise in writing prior to project commencement.
- No DFX Studios branding, watermarks, or credits will be added to Client deliverables. All work is delivered fully unbranded.
08. Confidentiality
DFX Studios treats all Client information with the utmost discretion and professionalism.
- DFX Studios agrees not to disclose, share, or use for any purpose other than the agreed engagement any confidential information provided by the Client. This includes but is not limited to: business strategies, financial data, audience insights, internal communications, and unreleased content.
- This confidentiality obligation applies to all DFX Studios team members and contractors involved in the engagement.
- The Client likewise agrees not to disclose DFX Studios’ proprietary processes, strategies, pricing, or internal documents to third parties.
- Confidentiality obligations remain in effect for a period of two (2) years following the termination of the engagement.
09. Client Responsibilities
To ensure the successful delivery of all services, the Client agrees to:
- Provide all required assets, brand materials, access credentials, and information in a timely manner.
- Designate a point of contact who has the authority to provide approvals and feedback.
- Review and respond to submitted work within an agreed-upon feedback window (typically 3 to 5 business days unless otherwise specified).
- Ensure that all materials provided to DFX Studios are legally owned or licensed by the Client and do not infringe upon any third-party rights.
10. Limitation of Liability
DFX Studios provides content marketing and creative services. The following limitations apply:
- DFX Studios does not guarantee specific business outcomes, follower counts, engagement rates, sales conversions, or revenue growth as a result of its services. Results depend on many factors outside of DFX Studios’ control.
- DFX Studios’ total liability in connection with any engagement shall not exceed the total fees paid by the Client for the specific project or monthly period in question.
- DFX Studios is not liable for any indirect, consequential, or incidental damages arising from the use of or inability to use delivered content.
11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Wyoming, United States of America. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Wyoming.
12. Amendments
DFX Studios reserves the right to update or amend these Terms of Service at any time. Clients will be notified of material changes via email. Continued engagement after notification constitutes acceptance of the updated Terms.
